Museum partner agreement
The agreement between a museum (or its shop operator) and Museum Edit. Accepted in the partner desk, or signed by e-mail exchange; it takes effect on the date recorded there, with the deal recorded there.
1. Parties and object
Between Hazel Tree Consulting, Unipessoal Lda (NIF 518072401), Rua Gonçalo Cristóvão 128, 9.º Esquerdo, 4000-408 Porto, Portugal ("Museum Edit") and the museum named in the partner desk ("the Museum"). Museum Edit lists the Museum's shop range on Museum Edit (museumedit.com) and in the shopping channels it sells through, takes and is paid for orders, and has them fulfilled by the Museum.
2. Listing
Museum Edit reads the Museum's shop feed (or the Museum's connected shop) several times a day and lists every object with its title, photographs, description and price as published by the Museum. The Museum may exclude objects or categories at any time from the partner desk. The Museum grants Museum Edit a non-exclusive, royalty-free licence to reproduce these photographs and texts to list and promote the Museum's objects, for the term of this agreement.
3. The deal
One of three deals applies, as recorded in the partner desk when the Museum accepts these terms:
- Commission. Museum Edit sells at the Museum's own price and keeps a commission of that price (15 percent unless another rate is recorded). The Museum is paid the rest of the price plus the delivery fee.
- Fixed price. Museum Edit pays an agreed price per object (recorded per object, or as a recorded discount off the Museum's price for objects without one) plus the delivery fee, and sells at the Museum's own price or at the price Museum Edit sets, never below the Museum's own price unless the Museum agrees.
- Added on top. The Museum is paid 100 percent of its own price plus the delivery fee; Museum Edit's commission (12 percent of what the buyer pays unless another rate is recorded) is added to the buyer's price.
Delivery is paid at the Museum's recorded delivery rates or, without them, at Museum Edit's rates for the destination. Orders under three euros of Museum Edit's margin carry a small-order fee paid by the buyer, never by the Museum.
4. Orders and fulfilment
The Museum chooses in the partner desk how paid orders reach it: as paid orders placed in its Shopify or WooCommerce shop through the access it approves; through the Museum Edit partner API (a signed webhook, and the Museum's answers with its own key); or by e-mail with signed links. An order placed in the Museum's shop, or accepted through the API or the e-mail link, is accepted. The Museum ships within three working days of the order, in packaging that matches what the buyer was shown, without prices or invoices in the parcel, and records the carrier and tracking number in its shop, through the API or from the e-mail link; Museum Edit passes them to the buyer. An object the Museum cannot supply is reported at once, and Museum Edit refunds the buyer.
5. Money
Buyers pay Museum Edit. Museum Edit pays the Museum its amounts under section 3 weekly, after delivery, by bank transfer or Stripe, with a statement listing every order. Prints made from the Museum's collection, only with the Museum's approval of each image, earn the Museum a royalty of 15 percent of their retail price (20 percent for founding partners). Refunds to buyers for faulty or wrongly sent objects are deducted from the next payout.
6. Returns and guarantee
Buyers have fourteen days to withdraw under European Union consumer law; returns go to the address the Museum names. Faulty or damaged objects are replaced or refunded by the Museum. Museum Edit handles the buyer correspondence.
7. Data and access
The Museum receives the buyer's name, delivery address and order details for fulfilment only and processes them under the General Data Protection Regulation; it does not use them for marketing unless the buyer consents to the Museum separately. The access the Museum approves for its shop is used only to place Museum Edit orders and to read their fulfilment, stock and prices; the Museum can withdraw it at any time, after which orders reach it by e-mail.
8. Term and termination
The agreement runs until either party ends it with thirty days' written notice. Orders paid before the end date are completed. On termination the Museum's objects are removed from Museum Edit within twenty-four hours and the licence in section 2 ends.
9. Law
Portuguese law; the courts of Porto, unless the Museum is a public body whose statute requires otherwise, in which case the parties agree on the forum in writing.
